Terms of Service
The short version. This summary isn't a substitute for the full terms below.
- Outduel is operated by Mosco Holdings LLC. You must be 18 or older and allowed to play where you live.
- Outduel is a game of skill. You play other people, not the house. The winner takes the pot, less the house rake.
- Wagers are final. Once a bout is matched it counts, and results decided by the game server aren't reversed because you lost, disconnected, or changed your mind.
- No cheating, bots, macros, multi-accounting, collusion, or match fixing. Break the Player Policy and we can ban you and seize your balance.
- Blockchain transactions can't be undone. Check your addresses.
1. Who we are
Outduel, available at outduel.fun and its subdomains (together, the "Service"), is owned and operated by Mosco Holdings LLC ("Mosco Holdings," "we," "us," or "our"). "Outduel" is a brand name of Mosco Holdings LLC and is not a separate legal entity. Wherever these terms, the site, or any receipt says "Outduel," it means Mosco Holdings LLC.
These Terms of Service (the "Terms") are a binding agreement between you and Mosco Holdings LLC. The following documents are part of these Terms: the Player Policy, the Privacy Policy, the Responsible Play page, and, if you join the affiliate program, the Affiliate Terms.
By creating an account, signing in, or using the Service, you accept these Terms. If you don't accept them, don't use the Service.
2. Eligibility
To use the Service you must:
- be at least 18 years old, and at least the age of majority where you live;
- be legally allowed to take part in skill-based competitions for money or cryptocurrency where you are located, and not be located in a country, state, or region where we have restricted access;
- not be on any sanctions list maintained by the United States or any other applicable government, or be located in a sanctioned country;
- not have been banned from the Service before, unless we have lifted that ban in writing; and
- use the Service for yourself, not on behalf of anyone else.
You are responsible for knowing and following the laws that apply to you. We may ask for information to confirm your eligibility and may restrict or close accounts in places or situations where we decide the Service shouldn't be offered. Using a VPN, proxy, or other tool to hide where you are, or to get around a restriction, violates these Terms.
3. Your account
- One account per person. You may hold only one account. Extra accounts ("alts") are prohibited and may be banned with every account linked to them.
- Keep it yours. Don't sell, share, lend, or transfer your account, or let anyone else play on it.
- Keep it secure. You are responsible for your password, your sessions, and any wallet you link. Actions taken from your account are treated as yours. Tell us right away at support@outduel.fun if you think your account has been compromised.
- Usernames are public. Don't pick one that impersonates someone, is offensive, or infringes another person's rights. We may change or remove usernames that break this rule.
- Accurate information. Anything you give us must be true and current.
4. How Outduel works
Outduel runs head-to-head games of skill (such as boxing and racing) between players. The outcome of each bout depends on the players' skill, decisions, and reactions. You compete against other players, not against Mosco Holdings. We don't play for our own account in wagered bouts.
The game server is authoritative: it runs the simulation, validates every input, and decides the result. What your screen shows may briefly differ from the server because of latency; the server's result controls.
5. Balances, deposits, and withdrawals
5.1 Custodial balances
Outduel keeps an account balance for you, denominated in SOL (the native token of the Solana blockchain). SOL you deposit is held in wallets controlled by Mosco Holdings, and your balance is our record of what we owe you. Balances don't earn interest, aren't bank deposits, and aren't insured by any government agency.
5.2 Deposits
Deposits are credited once the transfer is finalized on the Solana blockchain. Send only SOL on the network the site shows you. SOL sent from an unrecognized wallet, on the wrong network, or as another token may be delayed, may not be recoverable, and is sent at your own risk.
5.3 Withdrawals
- You may withdraw only the withdrawable part of your balance: deposits and winnings. Play credit, beta credit, promotional credit, and demo balances are never withdrawable.
- Withdrawals go only to your linked wallet or to a withdrawal address you have saved with your password.
- Minimums, maximums (currently 500 SOL per request), and fees (including network fees) are shown before you confirm. We may change them.
- Blockchain transactions are irreversible. We aren't responsible for SOL sent to an address you gave us that is wrong, compromised, or controlled by someone else.
- We may delay, hold, or refuse a withdrawal while we investigate suspected fraud, cheating, a security issue, a legal requirement, or a violation of these Terms, and we may ask you to verify your identity first.
5.4 Errors
If a balance is credited by mistake, through a bug, or through a transaction that fails or is reversed, we may correct it, including by debiting your balance. Don't exploit errors; see the Player Policy.
5.5 Testnet and beta
While the Service runs on a Solana test network or in a beta, balances are test tokens with no real-world value, and beta or play credit can never be withdrawn or exchanged for anything of value. We may reset, adjust, or remove test balances, ratings, and records at any time.
6. Wagers
6.1 Entering a wager
When you join a wagered queue or send or accept a challenge, the stake is taken from your balance and held in escrow. Leaving the queue before you're matched, or a challenge being declined, cancelled, or expiring, returns the stake.
6.2 Wagers are final
Once you are matched, the bout is on and the wager is final. The result reported by the game server is binding. We won't reverse, refund, or replay a wager because you:
- lost, played badly, or misjudged your opponent;
- left, closed the tab, lost your connection, or had lag, device, or network problems on your end;
- weren't ready in time or forfeited under the bout rules; or
- disagree with a server decision that followed the game's rules.
The bout rules shown in the game apply. Among them: leaving before the bell (other than a reload within the reconnect grace period) or mid-fight is a forfeit; a player who isn't ready within the time limit loses to one who is; and if both leave, the one who left first loses.
6.3 When stakes are returned
Both stakes are returned in full, with no rake, if a bout ends in a draw, is cancelled, neither player readies up, no result arrives within 30 minutes, or the bout is voided under the Player Policy (for example, because a player in it was banned). This is the only way a matched wager is undone, apart from the correction of clear technical errors on our side.
6.4 Payouts and rake
The winner receives the pot minus the house rake. The rake is a percentage of the pot, currently 10% and never more than 25%. The rate in force when a bout is matched applies to that bout. The rake is our fee for running the Service.
6.5 Integrity holds
We run automated anti-cheat checks on every bout. A wagered bout can be held for review instead of paying out immediately. While it's held, both stakes stay in escrow until we either release it (pay as the result said) or void it (return both stakes). Our decision after review is final.
7. Fair play and conduct
You must follow the Player Policy. In short: no cheating, bots, scripts, macros, or automation; no modified clients or exploiting bugs; no multi-accounting; no collusion, match fixing, or intentionally losing; no chip dumping or moving money between accounts through bouts; no harassment; and no fraud or money laundering.
8. Enforcement, bans, and seizure of balances
If we reasonably believe you have broken these Terms or the Player Policy, we may, without prior notice: warn you; hold or void bouts; suspend or permanently ban your account; ban the IP addresses, devices, and wallets associated with it; ban other accounts we reasonably believe are yours or are linked to the violation; and seize the balance of any banned account.
How seizures work is set out in full in the Player Policy, Bans and seizures. In summary: when an account is banned, its live and held bouts are voided (both players get their stakes back), queued withdrawals are cancelled, and its entire balance is placed on hold. If the ban is lifted or expires within 60 days, the balance is returned. If the ban is still in force after 60 days, the held balance is forfeited to Mosco Holdings LLC. You agree that a forfeited balance is a reasonable pre-estimate of the harm cheating and fraud cause to other players, to the integrity of the Service, and to us, and not a penalty.
You may appeal a ban as described in the Player Policy. Our decision on appeal is final.
9. Skill points, cosmetics, gifts, and promotions
- Skill points are earned by playing. They have no monetary value, can't be bought, sold, transferred, or withdrawn, and can only be spent on cosmetics in the shop.
- Cosmetics give you a limited, revocable license to use the item on the Service. You don't own them and they don't affect gameplay.
- Gifts, tips, giveaways, and promotional credit are at our discretion. Unless we say a reward is withdrawable, it isn't. Promotions may carry their own rules, which apply alongside these Terms. Rewards obtained through abuse (for example with alts) may be removed.
- We may change, rebalance, or discontinue skill points, the shop, cosmetics, ratings, and leaderboards at any time.
10. Third-party services
The Service works with third parties we don't control, including the Solana blockchain, wallet software such as Phantom, and Discord. Your use of them is governed by their terms. We aren't responsible for their availability, fees, errors, or security, including network congestion, failed transactions, or wallet bugs.
11. Intellectual property
The Service, including its software, games, art, text, logos, and the Outduel name, belongs to Mosco Holdings LLC or its licensors. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose while you follow these Terms. You may not copy, modify, reverse engineer, scrape, or build derivative works from the Service, except where the law expressly allows it.
If you send us feedback or suggestions, we may use them without any obligation to you. You may share clips, replays, and share cards of your own bouts.
12. Taxes
You are solely responsible for any taxes on your winnings and other activity on the Service, and for any reporting. We may report information to tax authorities where the law requires it.
13. Risks you accept
Cryptocurrency prices are volatile, and the value of SOL in your balance can go up or down. Blockchain networks can be slow, congested, or fail. Laws on cryptocurrency and skill gaming change and may affect the Service or your ability to use it. Wagering carries a real risk of losing your stake. You use the Service at your own risk.
14. Suspension and termination
You may stop using the Service at any time and may ask us to close your account; before closing, withdraw your withdrawable balance. We may suspend, limit, or end the Service or your access to it at any time, including for maintenance, security, or legal reasons. If we close your account for a reason other than a violation of these Terms, we will let you withdraw your withdrawable balance, subject to verification. Sections that by their nature should survive termination (including sections 5.4, 8, and 11 through 19) survive.
15. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any game, rating, or result will meet your expectations.
16. Limitation of liability
To the fullest extent permitted by law, Mosco Holdings LLC and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or cryptocurrency value, arising from or related to the Service. Our total liability for any claim arising from or related to the Service is limited to the greater of (a) the withdrawable balance in your account when the claim arose, or (b) one hundred U.S. dollars (US$100).
Some jurisdictions don't allow some of these limits, so they may not all apply to you.
17. Indemnity
You agree to defend, indemnify, and hold harmless Mosco Holdings LLC and its members, managers, employees, and agents from any claims, losses, and costs (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or the rights of another person.
18. Disputes and arbitration
Please read this section carefully. It affects your legal rights.
Talk to us first. Before starting a formal dispute, email support@outduel.fun with your username, a description of the problem, and what you want. We'll try to resolve it within 30 days.
Binding individual arbitration. If we can't resolve it, you and Mosco Holdings LLC agree that any dispute arising from or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. Either party may instead bring an individual claim in small claims court if it qualifies. Arbitration may be conducted online or by phone.
Class action waiver. You and we may bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class proceeding.
Opt out. You can opt out of this arbitration agreement by emailing support@outduel.fun within 30 days of first accepting these Terms, with your username and a clear statement that you opt out of arbitration.
19. Governing law
These Terms are governed by the laws of the state in which Mosco Holdings LLC is organized and by applicable United States federal law, without regard to conflict-of-law rules. Subject to section 18, the state and federal courts located in that state have exclusive jurisdiction, and you consent to their personal jurisdiction.
20. Changes to these Terms
We may update these Terms. We'll post the new version here and change the "Last updated" date, and for material changes we'll give notice on the site before they take effect. Changes don't apply to bouts already matched before they take effect. If you keep using the Service after changes take effect, you accept them.
21. General
These Terms, together with the documents they reference, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms; we may assign them, including to an affiliate or successor. Notices to you may be given through the Service or to the email on your account.
